Terms of Service

Agreement

These Terms of Service apply to services provided by E & Co. LLC, doing business as BHT Event Planning ("BHT," "we," "us"), and to use of bhtevents.com. By booking a consultation, signing a proposal or paying for services, you ("Client") agree to these terms. If a signed proposal or service agreement conflicts with these terms, the signed agreement controls.

Services

BHT provides event strategy and consulting, fractional event leadership, and planning and event-day management for corporate and private events. The scope, deliverables, timeline and fees for each engagement are set out in a written proposal or agreement. Prices published on our website are starting prices; final pricing depends on scope, guest count, timeline and location.

Booking and payment

Private events: a 50% retainer is due to secure your date and begin planning. The remaining balance is due no later than 14 days before the event date unless your agreement states otherwise.

Fractional event leadership: fees are billed monthly in advance, with a three-month minimum engagement. Hours beyond your tier are billed at BHT’s current hourly rate, as stated in your agreement.

Consulting: strategy sessions, plan reviews and planning consultations are paid at the time of booking or as invoiced.

Payments are processed securely through our payment providers and are made to E & Co. LLC. Bank transfer (ACH) is preferred for invoices. Invoices not paid by their due date may pause work until payment is received.

Event and vendor costs

BHT fees cover planning, leadership and management only. Venue, catering, rentals, production, travel and other vendor costs are separate and are paid by the Client, either directly to vendors or as reimbursable expenses approved in advance. BHT recommends and coordinates vendors but is not responsible for a vendor’s performance, products or services.

Changes to scope

Requests that add work beyond the agreed scope, such as additional onsite hours, staffing or events, will be quoted before work begins and billed as agreed in writing.

Cancellations and refunds

Private event retainers are non-refundable, as they reserve your date and cover planning work that begins immediately. If you cancel after the balance is paid, fees for work already performed are non-refundable; any unearned portion will be refunded.

Fractional engagements may be ended by either party with 30 days’ written notice after the three-month minimum term. Fees for months already billed are non-refundable.

Consultations and strategy sessions may be rescheduled once with at least 24 hours’ notice. Sessions missed or cancelled with less notice are non-refundable. A planning consultation fee is credited toward any package booked afterward.

If BHT must cancel an engagement for reasons within our control, we will refund any fees paid for services not yet performed.

Refund requests can be sent to beth@bhtevents.com. Approved refunds are returned to the original payment method.

Client responsibilities

The Client agrees to provide accurate information, make decisions and approvals in a timely manner, and ensure that guests comply with venue rules. BHT is not responsible for delays or added costs caused by late decisions, inaccurate information or guest conduct.

Circumstances beyond our control

Neither party is liable for failure to perform due to events beyond reasonable control, such as severe weather, natural disasters, public health orders, government action or venue closures. In those cases, the parties will work in good faith to reschedule or adjust services.

Limitation of liability

To the fullest extent permitted by law, BHT’s total liability for any claim related to its services is limited to the fees paid to BHT for the engagement giving rise to the claim. BHT is not liable for indirect, incidental or consequential damages.

Confidentiality and materials

BHT keeps Client business information confidential and uses it only to deliver services. Planning documents prepared for an engagement are for the Client’s use. BHT may use non-confidential event photos in its portfolio unless the Client asks us not to.

Governing law

These terms are governed by the laws of the State of Mississippi.
